Terms of Use & SaaS Subscription Agreement

These Terms of Use govern access to and use of the AgriGlobal Market Market Intelligence Platform (the "Platform") and the services and information made available through it. By accessing or using the Platform, the User acknowledges that they have read, understood and agreed to these Terms of Use.

1. Parties and subject matter

This agreement is entered into between AgriGlobal Market Inc. ("AGM" or "AgriGlobal Market") and the legal entity or independent professional identified in the registration form or purchase invoice (the "Customer", "Subscriber" or "User").

By registering, creating an account or purchasing a subscription plan, you acknowledge that you act on behalf of a legal entity or as an independent trader or professional (B2B environment) and agree to be bound by these Terms of Use.

2. Licence to use the Platform

Subject to compliance with these Terms of Use and the applicable membership or acquisition terms, AgriGlobal Market grants the User a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Platform.

The licence permits the User to access, review, visualize and analyze the business intelligence dashboards and information made available through the Platform within the scope of their authorized access.

The User does not acquire ownership or any other intellectual property rights in the Platform or its underlying technology.

3. Intellectual property

All rights relating to the Platform and its underlying technology remain with AgriGlobal Market and/or its applicable rights holders. The licence granted to the User does not transfer or grant any rights to:

  • Source code;
  • Algorithms;
  • Data models;
  • Internal databases;
  • Trademarks;
  • Protected content;
  • Proprietary methodologies; or
  • Other technical or intellectual property components of the Platform.

Unauthorized use, reproduction, extraction, disclosure or reconstruction of these elements is prohibited. The algorithms, customs data aggregation models, graphical interfaces, source code, compiled reports, databases and trademarks of AGM are protected by international intellectual property treaties.

4. Permitted use of information

Users may use information, aggregated data, analyses and results obtained through the Platform to prepare, present and distribute reports, studies, presentations, publications and other materials.

Such use is permitted for informational, academic, institutional or general disclosure purposes, provided that it does not directly or indirectly pursue a commercial, for-profit or resale purpose.

When information obtained through the Platform is used or published, the User must clearly and visibly identify AgriGlobal Market as the source.

5. Prohibited use

The User may not:

  • Reproduce or redistribute raw data obtained through the Platform;
  • Extract or disclose complete databases;
  • Reproduce or disclose proprietary analytical models;
  • Reproduce or disclose proprietary methodologies;
  • Resell, sublicense or commercially redistribute Platform data;
  • Disclose information in a manner that allows unauthorized third parties to access the underlying data;
  • Attempt to technically reconstruct the Platform or its internal systems, or reverse engineer, decompile or extract its source code;
  • Use scrapers, spiders or automated robots for the mass extraction of data;
  • Use the information to create a product or service competing with AgriGlobal Market; or
  • Use the Platform in violation of applicable laws or the rights of third parties.

6. Subscription plans, fees, term and renewal

  • Available plans: access is structured in annual tiers (Basic, Advanced, Premium, Titanium) and individual Market Intelligence dashboard purchases (Single Chart), with the user licence allocations (seats), dashboard limits and features described on the /pricing page.
  • Prices and taxes: all fees are expressed in United States Dollars (USD) and exclude indirect taxes (VAT, Sales Tax, GST), which will be added to the invoice where legally applicable.
  • Payment methods: payment is made annually in advance by credit card through Stripe or international bank wire transfer. Where instalments have been agreed, failure to pay any instalment entitles AGM to suspend access to the service immediately.
  • Subscription term: memberships are valid for one (1) year from the activation date.
  • Automatic renewal: unless the User notifies AgriGlobal Market of their decision to cancel at least fifteen (15) calendar days before the expiration date, the membership will automatically renew for an equivalent period at the then-current list price.

7. Refunds

Refund requests may be made within fifteen (15) days following the purchase date.

The conditions applicable to each type of acquisition — annual memberships and individual Market Intelligence dashboard purchases (Single Chart) — are set out in the Refund Policy, which forms an integral part of these Terms of Use.

8. Right of withdrawal (EU/UK consumers)

The Services are offered to businesses. However, if you nevertheless register or purchase as a consumer within the meaning of Directive 2011/83/EU or the UK Consumer Contracts Regulations 2013, you have the right to withdraw from the contract within fourteen (14) days without giving any reason. The withdrawal period expires fourteen days from the day of conclusion of the contract.

To exercise the right, you must notify AGM by an unequivocal statement (for example a letter sent to our postal address, an email to [email protected], or a message through our contact form) before the period expires. AGM will reimburse you without undue delay and in any event no later than fourteen days from the day it is informed of your decision, using the original means of payment.

Acknowledgment of loss of withdrawal. If you request that performance of the Services (including activation of dashboard access or delivery of charts or data credits) begin during the withdrawal period, AGM will ask for your prior express consent and your express acknowledgment that you retain the right to withdraw only until the service has been fully performed and that, upon full performance, you lose the right of withdrawal (Art. 14(4)(a) and Annex I Part A of Directive 2011/83/EU; UK CCR 2013, regs. 28 and 33). If you withdraw after performance has begun but before it is complete, you shall pay an amount which is in proportion to what has already been performed, calculated under the pro-rata section of the Refund Policy.

9. Changes to dashboard selection

Changes to the selection of dashboards may be requested during the applicable subscription period, subject to the conditions established for the User's membership or acquisition.

10. User account management

Users may be added, removed or updated upon request from the holder of the master account, subject to the applicable access and membership conditions.

11. Data sources and data accuracy

The information available through the Platform may originate from official records, public databases, specialized providers and external partners. AgriGlobal Market applies processes of transformation, cleaning, standardization and technical verification to information obtained from these sources.

However, AgriGlobal Market does not guarantee the integrity, timeliness, accuracy or absolute correctness of the information presented.

The availability, level of detail and type of information available may vary between countries due to local laws concerning data protection, confidentiality, privacy and access to information. Accordingly, certain dashboards may contain different, incomplete or more limited information than dashboards relating to other countries.

AgriGlobal Market shall not be responsible for typographical errors, inconsistencies, omissions, duplications, delays in updating or other imperfections arising from limitations inherent in the original information sources.

12. Timeliness of information

Information available through the Platform may contain time lags depending on:

  • The country of origin;
  • The update frequency of the underlying source; or
  • Applicable local legal restrictions.

Users acknowledge that information displayed through the Platform may therefore not always reflect the most recent available information.

13. Informational and analytical purpose

The Platform and its dashboards are provided for informational, strategic and analytical purposes only. Price, volume, freight, origin and destination CIF/FOB series are derived from official customs records, port cargo manifests and analytical estimates based on international trade flows.

Information available through the Platform does not constitute:

  • Financial advice;
  • Investment advice;
  • Investment recommendations;
  • Transaction recommendations; or
  • An endorsement of any investment or commercial decision.

The User is solely responsible for evaluating the information and for any decision made based on information obtained through the Platform.

AGRIGLOBAL MARKET SHALL NOT BE LIABLE FOR DAMAGES, LOSSES OR HARM RESULTING FROM THE USE OR INTERPRETATION OF, OR DECISIONS MADE BASED ON, THE INFORMATION AVAILABLE THROUGH THE PLATFORM, INCLUDING ECONOMIC LOSSES, OPPORTUNITY COSTS, COMMODITY PRICE FLUCTUATIONS OR SHIPMENT CANCELLATIONS.

14. Service Level Agreement (SLA) and availability

  • Uptime commitment: AGM will use commercially reasonable efforts to maintain platform availability of 99.5% measured annually, excluding scheduled maintenance windows (notified 48 hours in advance) and force majeure events.
  • Downtime credits: if uptime on the Premium or Titanium plans falls below 99.0% in a given month for reasons attributable solely to AGM, the Customer may request a proportional credit of 5% of the monthly subscription value. This is the sole and exclusive remedy for service outages.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF AGRIGLOBAL MARKET TO THE CUSTOMER FOR ANY CLAIM ARISING FROM THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR STATUTE, IS STRICTLY LIMITED TO THE TOTAL AMOUNT ACTUALLY PAID BY THE CUSTOMER TO AGM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL AGM BE LIABLE FOR INDIRECT, INCIDENTAL OR PUNITIVE DAMAGES, LOSS OF PROFITS OR LOSS OF COMMERCIAL BENEFITS.

16. User responsibilities

Users agree to use the Platform responsibly and in accordance with applicable laws and these Terms of Use.

Users must conduct their activities in good faith and with legality, truthfulness and respect for the rights of third parties.

17. Lawful source of funds

The User represents and warrants that funds used to pay for the services originate from lawful sources and are not related to money laundering, terrorist financing or any other illicit activity.

AgriGlobal Market reserves the right to request supporting documentation when deemed necessary.

18. Compliance with applicable laws

The User is responsible for ensuring that their use of the Platform and its information complies with all applicable laws and regulations.

The User must not use the Platform for unlawful purposes or in a manner that violates the rights of AgriGlobal Market or any third party.

19. Acceptance of terms

By accessing or using the Platform, the User acknowledges that they have read and understood these Terms of Use and agrees to comply with them.

If the User does not agree with these Terms of Use, they should not access or use the Platform.

20. Governing law and jurisdiction

These Terms of Use are governed by the laws of the State of Florida, United States of America, excluding conflict of law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

Any dispute shall be finally resolved by binding arbitration under the Rules of the International Chamber of Commerce (ICC).
