B2B Agri-Food Marketplace Trading Terms & Disclaimers

1. AgriGlobal Market's role as an intermediary platform

The AgriGlobal Market Marketplace is a B2B digital environment intended exclusively to connect buying companies (Buyers) and selling or supplying companies (Suppliers) of agro-industrial raw materials (grains, meals, animal fats, rendering by-products, biofuels, fertilizers).

AGM acts solely and exclusively as a technical intermediary and digital commercial noticeboard. AGM is not a party to the sale contracts that users conclude between themselves, does not take physical possession of the goods, does not intervene in logistics and does not act as an escrow agent.

2. Trader obligations and verification (Know Your Business)

  • Mandatory professional status: only legally constituted legal entities or traders may publish or make offers on the Marketplace.
  • Accuracy of offers: the supplier warrants that it holds title, sanitary authorizations (e.g. FDA, EFSA, SENASA, ICA) and the logistical capacity to supply the published lots according to the agreed specifications.
  • Incoterms 2020 and private contracting: delivery terms (FOB, CIF, CFR, EXW), shipment deadlines, laboratory analyses (moisture, protein, acidity, impurities) and banking settlement methods (irrevocable letters of credit, CAD) are agreed autonomously and directly between buyer and seller.

3. Exclusion of liability for goods and transport

AGM accepts no liability whatsoever for:

  • Failure to meet technical specifications, deterioration, shrinkage, contamination or phytosanitary rejection of grain or agricultural by-product lots.
  • Delays in ocean freight, port demurrage or incidents in international transport.
  • Non-payment, insolvency or commercial default between the parties transacting on the Marketplace.

4. Digital Services Act (EU 2022/2065) and notice and action

In accordance with Articles 16 and 22 of Regulation (EU) 2022/2065 (DSA):

  • Single point of contact for authorities and users: [email protected].
  • Notice and action procedure: any rights holder, authority or user who identifies a fraudulent listing, illegal product or infringement on the Marketplace may submit a formal report including (i) identification of the notifier; (ii) the link to and a screenshot of the infringing listing; (iii) the legal grounds for the alleged illegality.
  • AGM will process the request and issue a reasoned decision on preventive removal within a maximum of 48 business hours.
